Introduction

Luminous Medical Solutions LLC, doing business as Priveya (“Priveya,” “we,” “us,” or “our”), provides a technology platform through which you can obtain telehealth consultations with independent, licensed healthcare professionals (each, a “Provider”) and coordinate access to laboratory testing and related healthcare services (collectively, the “Services”). This Consent to Telehealth (“Consent”) explains the nature, benefits, limitations, and risks of receiving healthcare services via telehealth. It also describes your rights and responsibilities as a patient.

By using the Services and proceeding with a telehealth consultation, you acknowledge that you have read and understood this Consent, and that you voluntarily and knowingly consent to receiving healthcare services via telehealth as described herein. This Consent is incorporated into and made part of Priveya’s Terms and Conditions of Use. All capitalized terms not defined in this Consent have the meanings assigned to them in the Terms.

For purposes of this Consent, the terms “Priveya,” “we,” “us,” and “our” refer to Luminous Medical Solutions LLC and its affiliated professional entities, and “you” and “your” refer to the individual using the Services.

What Is Telehealth?

Telehealth involves the delivery of healthcare services using electronic communications, information technology, and related means between a licensed healthcare provider and a patient who are not in the same physical location. Telehealth may be used for diagnosis, treatment, follow-up care, and patient education. Through the Services, telehealth may include, but is not limited to:

  • Electronic transmission of medical records, health intake forms, clinical photographs, personal health information, lab results, and other health data between you and a Provider;
  • Interactions between you and a Provider via asynchronous data communications, including secure messaging through the platform;
  • Synchronous live video consultations between you and a Provider via the platform;
  • Coordination and review of at-home or outpatient laboratory test results by a Provider through the platform; and
  • Use of output data from remote devices, medical devices, and sound or video files submitted through the Services.

The information systems used in the Services incorporate network and software security protocols designed to protect the privacy, security, and integrity of your health information and to safeguard your data against intentional or unintentional corruption and unauthorized access.

Services Offered Through Priveya

Priveya facilitates telehealth consultations and related services in the following clinical areas, among others:

  • Weight management, including evaluation for pharmacotherapy such as GLP-1 receptor agonist medications;
  • Sexual health, including testing, screening, and non-emergency treatment for sexually transmitted infections and diseases (STI/STD);
  • Non-narcotic, non-controlled substance prescription refill consultations;
  • Women’s health, including hormonal health, reproductive wellness, and contraception;
  • Emergency contraception consultations;
  • Coordination of at-home laboratory testing (self-collected sample kits); and

Coordination of outpatient laboratory testing through licensed third-party reference laboratories.

IMPORTANT: Priveya does not provide emergency care, mental health crisis services, or treatment for acute, life-threatening, or complex conditions requiring in-person evaluation. The Services are not a substitute for a primary care physician or specialist. If your condition requires in-person evaluation, your Provider will advise you accordingly.

Modes of Telehealth Consultation

Asynchronous Consultations (Store-and-Forward)

In an asynchronous consultation, you complete a detailed health intake questionnaire and may upload photographs, lab results, or other relevant health information. A licensed Provider reviews your submission and responds through the secure platform within the applicable response window. You and the Provider are not simultaneously present or connected in real time.

You understand and acknowledge that:

  • The Provider’s assessment is based solely on the information you submit. The accuracy, completeness, and honesty of your responses directly affect the quality of any clinical assessment or recommendation.
  • The Provider may respond with a treatment plan, a request for additional information, a referral, or a determination that in-person care is required. These are clinical decisions made in the Provider’s sole professional judgment.

Response times are estimates and are not guaranteed. Clinical urgency is not assessed through asynchronous submissions. Do not use this service for time-sensitive or urgent medical concerns.

Live Video Visits

In a live video visit, you participate in a real-time video consultation with a licensed Provider through the platform. Live video visits allow for more interactive clinical engagement, though they remain subject to the limitations of telehealth described in this Consent.

You understand and acknowledge that:

  • Live video visits require a compatible device, a stable internet connection, a functioning camera and microphone, and a private location where your consultation will not be overheard or interrupted.
  • If a live video visit is interrupted or cannot be completed due to a technical failure, the Provider will attempt to resume the visit or reschedule, but Priveya is not liable for delays or interruptions caused by your internet connection, device, or other technical factors outside Priveya’s reasonable control.
  • You are responsible for ensuring your environment is appropriate for a confidential medical consultation.

Possible Benefits of Telehealth

Telehealth services may offer the following potential benefits:

  • Convenient access to licensed, independent healthcare Providers without the need for in-person travel or appointments;
  • Timely access to consultations for appropriate, non-emergency conditions;
  • Secure documentation and retention of your health history and clinical communications;
  • Coordination of laboratory testing from your home or a nearby collection facility; and
  • Continuity of care for certain ongoing, stable conditions through non-narcotic prescription refills.

While telehealth may provide these potential benefits, no healthcare service, whether delivered in person or via telehealth can guarantee any specific clinical outcome. Individual results will vary based on your medical condition, the accuracy of information you provide, and other factors beyond Priveya’s or your Provider’s control.

Possible Limitations and Risks of Telehealth

Telehealth has inherent limitations that differ from in-person care. You understand and acknowledge the following potential limitations and risks:

  • A Provider cannot perform a physical examination remotely. Clinical decisions made through telehealth are based solely on information you provide and, where applicable, laboratory results. The absence of a physical examination may limit the Provider’s ability to assess your condition fully.
  • Information you transmit to your Provider including photographs, symptom descriptions, and health history may be insufficient to allow for appropriate medical decision-making, and your Provider may be unable to diagnose or treat your condition via telehealth.
  • In some cases, the inability to conduct in-person assessments or vital sign measurements may prevent a Provider from identifying that you require urgent or emergent care. It is your responsibility to seek emergency care independently if you believe you may be in danger.
  • Your medical care may be delayed due to technological failures, internet disruptions, platform outages, or other factors that interrupt the Services.
  • Security safeguards can fail. While Priveya employs reasonable technical and organizational security measures, no electronic transmission is guaranteed to be 100% secure. A breach of security protocols could result in unauthorized access to your health information.
  • Due to the nature of the Services and regulatory requirements that vary by state, your treatment options, including which medications may be prescribed may be limited based on your jurisdiction.
  • Telehealth is an evolving field. The technology and clinical practices involved may include uses not specifically described in this Consent, as methods continue to develop.
  • Telehealth may not be appropriate or available for all medical conditions or all patients. Your Provider may determine, in their sole professional judgment, that your condition requires in-person evaluation, specialist referral, or alternative care and may decline to treat you via telehealth accordingly.

Your Provider may not be available at all times. Priveya is not an on-call or emergency service. Providers typically review and respond to consultations during normal business hours, and response times are not guaranteed.

Provider Independence and Priveya's Role

Telehealth has inherent limitations that differ from in-person care. You understand and acknowledge the following potential limitations and risks:

  • A Provider cannot perform a physical examination remotely. Clinical decisions made through telehealth are based solely on information you provide and, where applicable, laboratory results. The absence of a physical examination may limit the Provider’s ability to assess your condition fully.
  • Information you transmit to your Provider including photographs, symptom descriptions, and health history may be insufficient to allow for appropriate medical decision-making, and your Provider may be unable to diagnose or treat your condition via telehealth.
  • In some cases, the inability to conduct in-person assessments or vital sign measurements may prevent a Provider from identifying that you require urgent or emergent care. It is your responsibility to seek emergency care independently if you believe you may be in danger.
  • Your medical care may be delayed due to technological failures, internet disruptions, platform outages, or other factors that interrupt the Services.

Emergency Situations Critical Notice

THE SERVICES ARE NOT DESIGNED FOR MEDICAL EMERGENCIES, MENTAL HEALTH CRISES, OR ANY CONDITION REQUIRING URGENT IN-PERSON EVALUATION. DO NOT USE THE PRIVEYA PLATFORM IN AN EMERGENCY.

If you are experiencing any of the following or any other condition you believe may be life-threatening or require immediate medical attention call 911 or go to your nearest emergency room immediately:

  • Chest pain, shortness of breath, or suspected heart attack or stroke;
  • Severe allergic reaction (anaphylaxis), including difficulty breathing, throat swelling, or loss of consciousness;
  • Loss of consciousness, seizure, or severe confusion;
  • Uncontrolled bleeding or severe injury;
  • Suicidal ideation, self-harm, or mental health crisis; or
  • Any other condition you believe may require immediate emergency care.

Priveya and its Providers are not equipped to provide emergency care, and response times through the platform cannot meet the standard of care for emergencies. You assume sole responsibility for seeking appropriate emergency care independently of the Services.

Confidentiality and Privacy

Your health information shared through the platform is protected under applicable federal and state law, including the Health Insurance Portability and Accountability Act (HIPAA) where applicable, applicable state health information privacy laws, and Priveya’s Privacy Policy. Priveya and its affiliated professional entities will use, disclose, and protect your health information in accordance with these legal requirements and our Privacy Policy.

You authorize Priveya and your Providers to collect, use, and share your health information including your identified health information and information pertaining to your telehealth consultation as described in Priveya’s Privacy Policy and as otherwise permitted by applicable law, including for treatment, payment, and healthcare operations purposes.

You acknowledge and agree that:

  • Electronic transmissions, including health data sent through the platform, cannot be guaranteed to be 100% secure despite reasonable safeguards. You accept this inherent risk by using the Services.
  • If you participate in a live video visit, you are responsible for conducting your consultation in a private location where it will not be overheard by or visible to unauthorized individuals.

Priveya will share your telehealth records with other healthcare providers only with your consent and at your request. To request that your records be sent to another provider, contact us at records@priveya.com and provide the name, address, and phone number of the receiving provider along with your written consent.

Your Rights as a Patient

You have the right to:

  • Ask questions about your care, treatment options, and any medications recommended or prescribed by your Provider at any time;
  • Refuse treatment or discontinue a consultation at any time, including after it has begun, without penalty;
  • Request an in-person evaluation or referral to an in-person provider if you prefer;
  • Access your health records as permitted by applicable law by contacting us at records@priveya.com;
  • Receive a copy of this Consent and all other documents you sign in connection with the Services;
  • Withdraw this Consent at any time; and
  • Not be discriminated against for exercising any of these rights.

If you withdraw this Consent, you understand that you may no longer be able to access telehealth services through Priveya. Withdrawal of this Consent does not affect any care you have already received or any legal rights you may have.

Your Responsibilities as a Patient

To ensure the safety and quality of care you receive through the Services, you agree to:

  • Provide complete, accurate, and truthful information about your health history, current symptoms, medications (including supplements and over-the-counter drugs), allergies, prior diagnoses, and any other information relevant to your care;
  • Promptly update your Provider if your health status, symptoms, medications, or relevant circumstances change after your consultation;
  • Follow your Provider’s treatment recommendations, including medication instructions, dosage guidelines, and follow-up instructions, to the extent you choose to proceed with treatment;
  • Report any adverse reactions, side effects, or unexpected changes in your condition to your Provider or to a healthcare professional promptly;
  • Seek in-person care or call 911 when you believe you may be experiencing an emergency or when your condition requires in-person evaluation;
  • Maintain the confidentiality of your account credentials and protect your account from unauthorized access; and
  • Comply with all applicable laws and Priveya’s Terms and Conditions of Use.

WARNING: Withholding or providing inaccurate, incomplete, or misleading information about your health and medical history in order to obtain treatment may result in serious harm to you, including adverse drug reactions, incorrect treatment, and in some cases, death. Priveya and your Provider are not responsible for any adverse outcome resulting from your failure to provide accurate and complete health information.

Laboratory Testing Services

Priveya facilitates access to at-home and outpatient laboratory testing through licensed third-party laboratory partners. By requesting laboratory testing through the Services, you understand and agree that:

  • Certain laboratory tests require a valid order from a licensed Provider before testing can proceed. Your Provider will determine, in their clinical judgment, whether a test is appropriate for you.
  • For at-home testing kits: you are required to follow kit instructions precisely, including registration, sample collection, documentation completion, and return shipping. Failure to follow instructions may result in your sample being rejected or not processed.
  • Laboratory results are transmitted to your Provider and made available to you through the platform. Turnaround times are estimates provided by the laboratory and are not guaranteed.
  • Priveya does not perform laboratory testing and is not responsible for laboratory errors, specimen rejection, contamination, processing delays, or inaccurate results caused by improper sample collection.
  • Laboratory test results are intended to inform clinical consultations and are not, by themselves, diagnostic. Your Provider will review and discuss results with you through the platform.
  • You are responsible for presenting yourself at an outpatient lab collection facility with the proper lab requisition, and for complying with all collection requirements at that facility. Priveya is not responsible for any delays, errors, or experiences at third-party lab facilities.

Prescription Services

If your Provider determines that a prescription is clinically appropriate following your telehealth consultation, the following applies:

  • Whether to issue a prescription is exclusively a clinical decision made by your Provider in their independent professional judgment. Completing a consultation, submitting payment, or requesting a specific medication does not guarantee that a prescription will be issued.
  • Priveya does not dispense medications and is not a pharmacy. If a prescription is issued, it will be sent to a licensed pharmacy of your choice or to a pharmacy partner designated by you.
  • Priveya does not facilitate the prescribing of Schedule I or II controlled substances. Non-narcotic, non-controlled prescriptions may be issued where clinically appropriate and consistent with applicable federal and state law.
  • Certain medications, including GLP-1 receptor agonist medications used for weight management may require ongoing monitoring, follow-up consultations, and periodic reassessment by your Provider. You agree to engage with your Provider as directed for safe and effective use of any prescribed medication.
  • Some medications prescribed through the platform may be used for off-label indications or may be dispensed as compounded preparations by licensed compounding pharmacies. Your Provider will explain any off-label use or compounding and will obtain your consent before prescribing.
  • Prescription renewals are not automatic and require a clinical reassessment by your Provider. Priveya recommends initiating renewal requests well in advance of prescription expiration.
  • You are responsible for disclosing all current medications, supplements, and allergies to your Provider, and for complying with all prescribing and usage instructions. You must not share, sell, or misuse any prescribed medication.

Technical Failures and Service Interruptions

Technical failures including internet outages, software errors, device failures, platform interruptions, and other technology-related disruptions may occur and may interrupt, delay, or prevent completion of your telehealth consultation or transmission of your health information.

In addition to any limitation of liability provisions in Priveya’s Terms and Conditions of Use, you agree to hold Priveya harmless for any loss of information, delay in care, or other harm resulting from a technical failure that is not directly and solely caused by Priveya’s gross negligence or willful misconduct. You acknowledge that the platform cannot guarantee 100% uptime or uninterrupted service.

If a technical failure occurs during your consultation, please attempt to reconnect or contact our support team at support@priveya.com. If you believe the failure has affected your care in a clinically significant way, please contact your Provider through the platform when service is restored.

State-Specific Disclosures

Telehealth laws, regulations, and patient rights vary by state. Priveya and its affiliated Providers operate in compliance with applicable telehealth laws in each state where Services are provided. Depending on your state of residence, additional disclosures, consent requirements, or limitations may apply to your care. Providers are licensed in the states where they practice and will only provide Services to patients located in states where their license is valid at the time of consultation.

You acknowledge that you will accurately disclose your physical location at the time of each telehealth consultation, and that your Provider may be required to decline to provide Services if they are not licensed to practice in your state.

California Residents Open Payments Database Notice

The Open Payments database is a federal tool used to search payments made by drug and device companies to physicians and teaching hospitals. It can be found at https://openpaymentsdata.cms.gov. The Physician Payments Sunshine Act requires that payments and other transfers of value of $10 or more from manufacturers of drugs, medical devices, and biologics to physicians and teaching hospitals be made publicly available. You may search this database for information about payments made to Providers.

Duration and Renewal of This Consent

This Consent is effective as of the date you first accept it and remains in effect for all subsequent telehealth consultations with Priveya Providers unless and until you withdraw it. Your acceptance of this Consent will be considered renewed upon each new telehealth consultation you initiate with a Provider through the platform.

Priveya may update this Consent from time to time to reflect changes in applicable law, clinical practices, or the Services. Material changes will be communicated to you in accordance with Priveya’s Terms and Conditions of Use. Your continued use of the Services after any update constitutes your acceptance of the revised Consent.

Priveya is not a party to any transaction between you and a third-party provider, laboratory, or pharmacy, and is not liable for any loss, error, or harm arising from such transactions. Any disputes with third parties must be resolved directly with those parties.

If you arrive at the Services through a third-party website or service, your use of the Services is governed solely by these Terms, regardless of the terms of that third-party site.

How to Withdraw This Consent

You may withdraw this Consent at any time by sending written notice to Priveya at support@priveya.com with the subject line “Telehealth Consent Withdrawal” and a clear statement that you wish to withdraw your consent to telehealth services. Withdrawal is effective upon Priveya’s receipt and acknowledgment of your notice.

If you withdraw this Consent, you understand that you may no longer be able to receive telehealth services through Priveya, as telehealth is the primary mode of service delivery. Withdrawal does not affect any care you have already received, any outstanding prescriptions that have already been issued, or any legal obligations arising from prior use of the Services.

Patient Acknowledgment and Agreement

By proceeding with a telehealth consultation through the Services, you confirm and acknowledge each of the following:

  • I have read this Consent to Telehealth carefully and in its entirety, and I understand its contents.
  • I understand the nature of telehealth services, including the differences between telehealth and in-person care.
  • I understand the potential benefits of telehealth as described in this Consent, and I acknowledge that no specific clinical outcome, diagnosis, or prescription can be guaranteed.
  • I understand the potential limitations and risks of telehealth, including the inability of my Provider to conduct a physical examination, the risk of technology failures, the risk of security incidents, and the limitations on prescribing that may apply based on my jurisdiction.
  • I understand that Priveya is a technology platform and does not practice medicine. My clinical care is provided by independent, licensed Providers who exercise their own professional judgment.
  • I understand that my Provider may determine in their sole discretion that my condition is not suitable for telehealth and that I may need to seek in-person care or an alternative source of treatment.
  • I understand that the Services do not replace my relationship with any existing healthcare provider and are not a substitute for a primary care physician or specialist for complex or ongoing conditions.
  • I understand that I cannot obtain emergency care through the Services, and that I must call 911 or go to an emergency room immediately if I am experiencing a medical emergency.
  • I have a duty to answer all questions about my health and medical history honestly, completely, and accurately, and to keep my Provider informed of any changes to my health, symptoms, medications, or relevant circumstances.
  • I understand that withholding or providing inaccurate or misleading health information in order to obtain treatment may result in serious harm to me, up to and including death, and that Priveya and my Provider bear no responsibility for adverse outcomes resulting from my failure to disclose accurate information.
  • I understand that my health information will be collected, used, shared, and protected as described in Priveya’s Privacy Policy and in accordance with applicable law.
  • I authorize Priveya and my Providers to collect, use, and disclose my health information, including my identified health information and consultation records, for treatment, payment, healthcare operations, and as otherwise permitted by law.
  • I understand that my telehealth records will be shared with other healthcare providers only with my consent and at my request.
  • I understand that a technical failure may result in loss of information or interruption of my consultation, and I agree to hold Priveya harmless for any resulting loss or delay, except to the extent caused by Priveya’s gross negligence or willful misconduct.
  • I understand that I may withdraw this Consent at any time by contacting Priveya at support@priveya.com, and that withdrawal may affect my ability to continue receiving Services.
  • I confirm that I am at least 18 years of age and am legally capable of entering into this Consent on my own behalf.
  • I confirm that the information I have provided during registration and in my health intake is truthful, accurate, and complete to the best of my knowledge.

BY USING THE SERVICES AND PROCEEDING WITH A TELEHEALTH CONSULTATION, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND VOLUNTARILY AGREE TO THIS CONSENT TO TELEHEALTH IN ITS ENTIRETY.
