Introduction

This Medical Disclaimer (“Disclaimer”) applies to all information, content, services, and communications accessible through the Priveya platform and website operated by Luminous Medical Solutions LLC, doing business as Priveya (“Priveya,” “we,” “us,” or “our”). This Disclaimer is incorporated into and forms part of Priveya’s Terms and Conditions of Use and should be read together with all other Priveya legal documents.

BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THIS DISCLAIMER IN ITS ENTIRETY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

Priveya Is Not a Healthcare Provider

PRIVEYA IS A HEALTHCARE TECHNOLOGY PLATFORM. PRIVEYA IS NOT A LICENSED HEALTHCARE PROVIDER, MEDICAL PRACTICE, CLINIC, HOSPITAL, OR LICENSED HEALTHCARE FACILITY. PRIVEYA DOES NOT PRACTICE MEDICINE, NURSING, PHARMACY, OR ANY OTHER LICENSED HEALTHCARE PROFESSION.

The healthcare services accessible through the Priveya platform are provided exclusively by independent, licensed healthcare professionals (“Providers”) who are not employees of Priveya in their clinical capacity. Priveya’s role is limited to providing the technology infrastructure through which you can access and communicate with these independent Providers.

Priveya does not:

  • Practice medicine or provide medical care of any kind;
  • Employ Providers in a clinical capacity or supervise their clinical decisions;
  • Diagnose, treat, cure, mitigate, or prevent any disease, condition, or injury;
  • Prescribe, dispense, or recommend any medication;
  • Provide medical advice, medical opinions, or clinical assessments; or
  • Guarantee any healthcare outcome or result.

No Doctor-Patient Relationship with Priveya

Your use of the Priveya platform does not create a doctor-patient relationship, nurse-patient relationship, or any other clinical professional relationship between you and Priveya.

A clinical relationship may be formed between you and an individual, independent licensed Provider at the time of a telehealth consultation, subject to that Provider’s independent professional judgment and applicable state law. Such a relationship is exclusively between you and the individual Provider — not between you and Priveya.

The absence of a clinical relationship with Priveya means that:

  • Priveya has no clinical duties toward you;
  • Communications with Priveya’s non-clinical support staff do not constitute medical advice;
  • Priveya’s platform content, educational materials, and health resources do not constitute clinical care; and

Priveya cannot be held liable as a healthcare provider for clinical outcomes.

Not a Substitute for In-Person Medical Care

Telehealth services facilitated through Priveya are not a substitute for in-person medical evaluation, diagnosis, or treatment in all circumstances. Telehealth has inherent limitations, including the inability to conduct a physical examination, measure vital signs directly, or observe clinical signs that may only be apparent in person.

You should seek in-person medical care — from your primary care physician, a specialist, an urgent care facility, or an emergency room — in the following circumstances:

  • You are experiencing a medical emergency (see Section 10);
  • Your condition is complex, acute, rapidly changing, or requires physical examination;
  • Your Provider has recommended in-person evaluation;
  • You have not seen a healthcare provider in more than three years and have no established care relationship;
  • You require a physical examination, diagnostic imaging, or procedures that cannot be performed remotely; or
  • Your condition has not improved or has worsened following treatment initiated through a telehealth consultation.

Priveya is intended to complement — not replace — a relationship with a primary care provider. We strongly encourage all patients to maintain a relationship with a primary care physician for comprehensive, longitudinal healthcare management.

No Medical Advice

Except for specific clinical communications issued by an individual licensed Provider in connection with your telehealth consultation, nothing accessible through the Priveya platform — including website content, blog posts, educational articles, email communications, platform notifications, customer support interactions, social media content, and marketing materials — constitutes medical advice.

Priveya’s non-clinical content is provided for general informational and educational purposes only. It does not constitute and should not be relied upon as:

  • A substitute for consultation with a qualified, licensed healthcare professional;
  • Medical advice, diagnosis, or treatment recommendation;
  • A clinical assessment of your individual health status; or
  • An endorsement of any specific treatment, medication, procedure, or healthcare provider.

 

Always consult a qualified healthcare professional before making any decisions about your health, medications, treatment, or medical conditions. Never disregard professional medical advice or delay seeking it based on information you have read on the Priveya platform or received from Priveya’s non-clinical staff.

Informational Content Disclaimer

Any articles, guides, blog posts, FAQs, condition pages, medication pages, wellness resources, or other written, video, or multimedia content available on the Priveya platform or website are provided for general informational and educational purposes only.

This content:

  • Is not reviewed or verified by a licensed healthcare professional on an individual patient basis;
  • May not reflect the most current clinical research, medical guidelines, or FDA approvals;
  • May not apply to your individual health circumstances, medical history, or current medications;
  • Is not personalized to your clinical needs and should not be interpreted as personalized medical guidance; and
  • May change without notice as clinical guidelines, regulatory requirements, and best practices evolve.

Priveya makes reasonable efforts to provide accurate and up-to-date informational content but does not warrant the accuracy, completeness, timeliness, or fitness for purpose of any informational content on the platform. You rely on informational content at your own risk.

No Guarantee of Outcomes

PRIVEYA DOES NOT GUARANTEE ANY HEALTH OUTCOME, CLINICAL RESULT, WEIGHT LOSS RESULT, OR OTHER BENEFIT FROM USE OF THE SERVICES OR FROM ANY TREATMENT, MEDICATION, OR RECOMMENDATION PROVIDED BY A PROVIDER THROUGH THE PLATFORM.

Medicine involves inherent uncertainty. Individual responses to treatment vary based on genetics, medical history, lifestyle factors, adherence to treatment protocols, and other variables beyond the control of Priveya or any Provider. Results described in testimonials, case studies, or marketing materials are not typical and do not represent a guarantee of your individual results.

Priveya and its affiliated Providers make no representations or warranties that:

  • Any treatment, medication, or plan recommended through the Services will be effective for your condition;
  • Any specific weight loss, symptom relief, or other measurable health improvement will occur;
  • The Services will meet your individual healthcare needs or expectations; or
  • Any condition will be cured, improved, or prevented through use of the Services.

Accuracy and Completeness of Information You Provide

The quality of clinical care you receive through Priveya depends entirely on the accuracy, completeness, and honesty of the health information you provide. Priveya and its Providers cannot verify the information you submit. If you provide false, incomplete, or misleading information, you may receive inappropriate or unsafe treatment — potentially resulting in serious harm or death.

You represent and warrant that all information you provide through the Services — including your medical history, current medications, allergies, symptoms, and prior diagnoses — is truthful, accurate, and complete to the best of your knowledge. You further agree to promptly update your Provider if any relevant information changes.

Priveya and its Providers expressly disclaim all liability for any adverse clinical outcome — including adverse drug reactions, drug interactions, incorrect treatment, or patient harm — that arises from inaccurate, incomplete, false, or misleading information provided by you.

Drug and Medication Information

Information about medications — including drug descriptions, dosing information, side effect profiles, contraindications, and drug interaction information — available on the Priveya platform is provided for general informational purposes only. It is not a substitute for the professional judgment of your prescribing Provider, the package insert provided with your medication, or consultation with a licensed pharmacist.

Drug information changes frequently. New safety warnings, black box warnings, recall notices, and updated contraindication information may be issued by the FDA at any time. You are responsible for reviewing the medication guide and package insert provided with any medication you receive and for raising any questions or concerns with your Provider or pharmacist before taking any medication.

Priveya does not warrant that any drug information on the platform is current, complete, or free of error. All drug-related decisions must be made in consultation with your licensed healthcare Provider.

Mental Health Disclaimer

Priveya does not provide mental health therapy, psychiatric medication management, crisis counseling, or any other behavioral health services. If you are experiencing a mental health crisis, suicidal ideation, self-harm urges, or a psychiatric emergency, please call 988 (Suicide and Crisis Lifeline), call 911, or go to your nearest emergency room immediately.

While Priveya’s weight management, women’s health, and other services may touch on aspects of emotional wellbeing and quality of life, these services are not a substitute for mental healthcare. If your Provider observes signs of a mental health concern during your consultation, they may refer you to appropriate mental health resources.

Priveya expressly disclaims any liability for mental health outcomes arising from use of the Services.

Emergency Situations

THE SERVICES ARE NOT DESIGNED FOR MEDICAL EMERGENCIES. DO NOT USE PRIVEYA IN AN EMERGENCY. CALL 911 OR GO TO YOUR NEAREST EMERGENCY ROOM IMMEDIATELY IF YOU BELIEVE YOU ARE EXPERIENCING A MEDICAL EMERGENCY.

Examples of medical emergencies for which you should call 911 or go to an emergency room immediately — and not attempt to contact a Provider through the Priveya platform — include, without limitation:

  • Chest pain, difficulty breathing, or suspected heart attack;
  • Signs of stroke: sudden numbness or weakness, confusion, trouble speaking or understanding speech, vision problems, severe headache, or loss of balance;
  • Severe allergic reaction (anaphylaxis): throat or tongue swelling, difficulty breathing, severe hives, or loss of consciousness;
  • Loss of consciousness, fainting, or unresponsiveness;
  • Uncontrolled bleeding or traumatic injury;
  • Suspected overdose or poisoning;
  • Suicidal ideation, self-harm, or active psychiatric emergency;
  • Seizure;
  • Severe abdominal pain; or
  • Any condition you believe to be life-threatening or rapidly deteriorating.

Priveya response times through the platform — including for asynchronous consultations — are not designed to meet the standard of care for emergencies. Your use of the platform during a medical emergency is entirely at your own risk, and Priveya is not liable for any harm resulting from your failure to seek emergency care.

Laboratory Testing Disclaimer

At-home and outpatient laboratory tests facilitated through Priveya are intended to support clinical consultations with your Provider. The following limitations apply to all laboratory services facilitated through the platform:

  • Laboratory tests ordered through Priveya are not intended to serve as the sole basis for a diagnosis. Results must be interpreted by a qualified healthcare Provider in the context of your full clinical picture, including your symptoms, medical history, and physical examination findings.
  • At-home laboratory tests are dependent on proper sample collection by the patient. Improper collection technique — including failure to follow kit instructions — may result in invalid, inaccurate, or rejected results. Priveya is not responsible for test results affected by improper sample collection.
  • Laboratory reference ranges are population-based estimates and do not represent absolute normal or abnormal thresholds for every individual. Interpretation of laboratory results requires clinical judgment.
  • Priveya is not the laboratory and does not perform or control the quality of laboratory testing. Priveya is not responsible for laboratory errors, equipment failures, specimen transport issues, or processing delays.
  • A normal laboratory result does not rule out the presence of a medical condition. An abnormal result does not confirm a diagnosis. Your Provider will discuss the clinical significance of your results with you.

Limitation of Liability — Clinical

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIVEYA, LUMINOUS MEDICAL SOLUTIONS LLC, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND AFFILIATED PROFESSIONAL ENTITIES (COLLECTIVELY, “PRIVEYA PARTIES”) SHALL NOT BE LIABLE FOR ANY CLINICAL HARM, PERSONAL INJURY, DEATH, OR ADVERSE HEALTH OUTCOME ARISING FROM:

  • YOUR USE OF OR RELIANCE ON ANY INFORMATIONAL CONTENT ON THE PRIVEYA PLATFORM;
  • ANY CLINICAL DECISION MADE BY AN INDEPENDENT LICENSED PROVIDER;
  • ANY FAILURE TO SEEK OR OBTAIN APPROPRIATE IN-PERSON MEDICAL CARE;
  • YOUR PROVISION OF INACCURATE, INCOMPLETE, OR MISLEADING HEALTH INFORMATION;
  • ANY ADVERSE REACTION TO A PRESCRIBED MEDICATION, INCLUDING COMPOUNDED MEDICATIONS;
  • ANY LABORATORY TEST RESULT OR ITS INTERPRETATION;
  • ANY TECHNICAL FAILURE THAT INTERRUPTS OR PREVENTS DELIVERY OF TELEHEALTH SERVICES; OR
  • ANY DELAY IN SEEKING EMERGENCY CARE RESULTING FROM YOUR USE OF THE SERVICES.

 

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY — INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE — AND EVEN IF PRIVEYA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH HARM. TO THE EXTENT ANY PRIVEYA PARTY IS FOUND LIABLE, TOTAL LIABILITY IS CAPPED AS SET FORTH IN PRIVEYA’S TERMS AND CONDITIONS OF USE.

Indemnification — Clinical

You agree to indemnify and hold harmless the Priveya Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses — including reasonable attorneys’ fees — arising out of or related to:

  • Your reliance on informational content on the platform for clinical decision-making;
  • Your provision of false, incomplete, or misleading health information to Priveya or to any Provider;
  • Your failure to follow a Provider’s clinical instructions, dosing guidelines, or treatment recommendations;
  • Your failure to seek in-person medical care when clinically warranted;
  • Your failure to seek emergency care when required; or
  • Any misuse of medications prescribed through the platform, including sharing medications with others.

State-Specific Clinical Disclosures

California

The Medical Board of California requires that physicians who practice telemedicine meet the same standard of care as physicians who provide in-person care. Priveya’s affiliated Providers are committed to meeting this standard in all consultations with California residents.

States with Prescribing Restrictions

Certain states impose additional restrictions on telehealth prescribing, including requirements for prior in-person evaluations, restrictions on prescribing certain medications via telehealth, or mandatory video visit requirements. Priveya’s affiliated Providers comply with all applicable state-specific prescribing requirements. If a prescription cannot be issued to you via telehealth based on applicable state law, your Provider will inform you and may refer you to appropriate in-person care resources.

Open Payments Database Notice

For informational purposes, the federal Centers for Medicare and Medicaid Services (CMS) Open Payments database is a public resource that lists payments made by drug and device manufacturers to physicians and teaching hospitals. You may search this database at https://openpaymentsdata.cms.gov.

Changes to This Disclaimer

Priveya reserves the right to update this Medical Disclaimer at any time to reflect changes in applicable law, clinical standards, FDA guidance, or our services. Material changes will be communicated in accordance with our Terms and Conditions of Use. Your continued use of the Services after any update constitutes your acceptance of the revised Disclaimer.
